On 3 December 2025, SPHEREA announced that it has signed an agreement to acquire 100% of Averna, a Canadian company recognised for its automated test, vision inspection and RF/microwave measurement solutions. The transaction, supported by Andera Partners, is expected to close by the end of the year, subject to standard regulatory approvals.
This acquisition brings together two complementary companies, forming a group of more than 1,800 employees across 13 countries with expanded capabilities covering the entire lifecycle of complex systems — from design and testing to maintenance and modernisation. SPHEREA strengthens its footprint in North America, Asia-Pacific and Europe, while Averna contributes over 25 years of expertise in high-growth sectors such as aerospace, defence, electronics, medical, automotive and energy.
The combined entity will represent annual revenues exceeding USD 305 million, forming a major independent global player in Test & Quality Engineering.
