Fundind the scale-up: the strategic significance of the partnership between newcleo and NewHold Investment Corp. III
NewHold Investment Corp. III and newcleo, a member of GICAN, have signed a partnership agreement to enable newcleo to accelerate the scale-up of advanced nuclear technologies, whilst strengthening its access to international capital markets.
Under the terms of the transaction, the combined entity will operate under the name newcleo plc and be listed on the Nasdaq. At the time of the announcement, the deal valued newcleo at approximately $2.4 billion prior to the injection of new capital and was expected to raise up to $429 million in gross proceeds, notably through a private placement with institutional and strategic investors.
The financial structure supports an industrial objective: newcleo is developing advanced modular lead-cooled fast neutron reactors, combined with a strategy using MOX fuel produced from recycled nuclear materials. These technologies address several priorities: decarbonisation, security of energy supply, better utilisation of nuclear resources and the development of compact solutions suited to new applications.
For newcleo, access to US financial markets can be a major driver. Nuclear programmes require substantial investment, mobilised over long cycles, well before the commercialisation phase. A listing on the Nasdaq broadens the potential investor base, diversifies funding sources and provides the company with greater means to finance its technological development, industrial projects and international expansion.
This move is also of particular importance to the French nuclear sector. newcleo is developing engineering activities and industrial projects related to nuclear fuel in France, whilst pursuing ambitious goals in the maritime sector. Its work focuses in particular on the integration of nuclear solutions in ports, on floating platforms and, in the longer term, on board civilian vessels. The ‘n-Floating’ project, carried out in partnership with Bureau Veritas Marine & Offshore and ABMI Groupe and selected by Bpifrance, illustrates this convergence between nuclear innovation, energy sovereignty and the maritime industry.
By strengthening newcleo’s financial capabilities, the business combination with NewHold can thus help to consolidate expertise, infrastructure and value chains in France and across Europe. Above all, it serves as a reminder that industrial sovereignty also depends on companies’ ability to attract funding commensurate with their ambitions and to ensure their long-term development.
